# UAE Commercial Agency Law: What Foreign Hardware Companies Must Know Before Appointing a UAE Distributor

The UAE Commercial Agencies Law — Federal Law No. 18 of 1981, as amended — is one of the most consequential pieces of legislation for foreign companies entering the UAE market. It grants registered commercial agents strong legal protections, including the right to prevent the foreign principal from selling directly or through another agent in the agreed territory, and in some cases the right to compensation upon termination even without cause. Many hardware companies appoint UAE distributors without realising they are establishing a 'commercial agency' relationship — and discover the implications only when they try to change distributors or enter the market directly. Understanding the law's scope, the registration trigger, and how to structure distributor relationships to avoid unintended commercial agency protection is the first compliance obligation for any foreign hardware company going to market in the UAE.

## UAE Commercial Agencies Law explained

### What the Commercial Agencies Law covers

Federal Law No. 18 of 1981 applies to agreements where a foreign principal appoints a UAE national or UAE company (wholly or majority-owned by UAE nationals) as an exclusive agent to sell or distribute the principal's goods or services in the UAE. When such an agreement is registered with the Ministry of Economy, the agent acquires statutory protections that override the contract terms.

### The registration trigger and its consequences

A commercial agency that is registered with the Ministry of Economy's Commercial Register becomes governed by the Act's mandatory provisions regardless of what the agreement says. The agent can prevent the principal from dealing in the same products through other channels in the agreed territory; the agent can prevent competitors from selling the same goods; and the agent may claim compensation upon non-renewal or termination even if the contract provides for termination without cause.

### Non-registered distribution arrangements

Not all distributor relationships are commercial agencies in the legal sense. A standard distribution agreement (buying and reselling on the distributor's own account, without the exclusivity and agency characteristics) may not require Ministry of Economy registration and may not trigger the Commercial Agencies Law's protections. The distinction between a distribution agreement and a commercial agency agreement is one of the most important structuring decisions for a foreign hardware company.

### 2022 amendments — Federal Decree-Law No. 3 of 2022

The Commercial Agencies Law was amended in 2022 to open agency registration to UAE legal entities regardless of ownership — previously, registration was limited to UAE nationals or entities with 51%+ UAE national ownership. This removed the nationality-of-agent restriction for registration, but the protections for registered agencies remain strong. The 2022 amendment also clarified that disputes between principals and agents are subject to UAE courts unless both parties agree to arbitration.

### GCC nationals as agents

GCC nationals (Saudi, Qatari, Kuwaiti, Bahraini, Omani) operating in the UAE can register as commercial agents under the UAE law, following the UAE's GCC national treatment framework. This is relevant for regional distribution strategies where a GCC-wide distributor is considered.

## Structuring your UAE distribution correctly

01

Before appointing a UAE distributor, obtain a legal opinion from a UAE-qualified lawyer on whether the proposed arrangement constitutes a 'commercial agency' under Federal Decree-Law No. 3 of 2022. The distinction between a commercial agency and a distribution agreement turns on the specific terms, not just what you call the relationship.

02

If you intend to appoint a commercial agent: negotiate the scope of territory, product lines covered, performance targets, and termination mechanics carefully — understanding that the Act's protections are mandatory and override weaker contract provisions.

03

If you intend to avoid commercial agency status: structure the distributor relationship so the distributor buys on its own account, takes title to goods, and operates without the 'exclusive agent' characteristics defined in the Act. Avoid contractually describing the relationship as an 'agency'.

04

Review your UAE distributor's ownership structure — if a UAE entity was historically 51%+ UAE national owned and has now restructured to allow majority foreign ownership (as UAE corporate law now permits in most sectors), the question of whether existing registered agency relationships are affected should be assessed.

05

If you are replacing an existing registered commercial agent, take legal advice before serving notice of non-renewal or termination. Agents have strong remedies — including injunctive relief preventing the principal from appointing a replacement agent — and there are mandatory notice periods that, if not followed, increase termination liability.

## Frequently asked questions

### Can a foreign hardware company sell directly into the UAE without a local agent?

Yes — direct selling, including e-commerce, is legal in the UAE for foreign companies without a commercial agent, subject to UAE e-commerce and customs rules. The Commercial Agencies Law only restricts the principal's ability to sell directly in the territory if a registered commercial agent has exclusivity for that territory. Without a registered exclusive agent, there is no such restriction.

### What compensation is a terminated agent entitled to under UAE law?

If a commercial agency is terminated by the principal without cause, or if renewal is refused without cause, the registered agent is entitled to compensation for the losses suffered as a result of the termination — including the value of market development investment, goodwill, and profits foregone. UAE courts have awarded substantial compensation in these cases. The amount is assessed by the court and there is no statutory cap — compensation can significantly exceed contractual damages.

### Can a UAE commercial agency agreement be governed by English law?

The UAE courts have historically applied UAE law to commercial agency disputes regardless of a contractual choice of foreign law, particularly for issues governed by the mandatory provisions of the Commercial Agencies Law. Arbitration clauses (agreed by both parties) are more likely to be respected — and arbitration in Dubai's DIFC Courts under DIFC law provides a common-law framework that foreign companies often prefer for commercial disputes.

### Does the Commercial Agencies Law apply to software or digital products sold through UAE distribution?

The law applies to 'goods and services' — so software distributed through a UAE agent can potentially be covered. However, the specifics matter: a software reseller arrangement where the reseller operates on a distributor model (buying licences and reselling) looks different from a software agency arrangement. The trend in UAE legal practice is toward more conservative application of the Act to purely digital/software products, but legal advice for specific arrangements is essential.
